Terms of Service

These Terms of Service ("Terms") govern your use of the Restockd Shopify app and related services (the "Service"). Restockd is operated by Twinkle Khosla, based in Bangalore, India. By installing or using the Service you ("Merchant" or "you") agree to these Terms. If you do not agree, uninstall the app.

1. The service

Restockd is a Shopify app that:

• Lets shoppers subscribe to restock notifications for sold-out product variants on Shopify stores.
• Sends those shoppers an automated email when the variant is back in stock.
• Provides a merchant dashboard showing demand signals, reorder recommendations, subscriber lists, and notification history.

2. Eligibility

To use Restockd you must:

• Operate a Shopify store in good standing.
• Have authority to bind your business to these Terms.
• Comply with Shopify's Partner Program Agreement and Acceptable Use Policy.

3. Your responsibilities

You are responsible for:

• Honoring your customers' opt-in. Shoppers subscribe to receive restock notifications only. Do not use collected email addresses for marketing or any purpose outside restock notifications.
• Complying with applicable law — GDPR, UK GDPR, CCPA/CPRA, CAN-SPAM, CASL, and any equivalent regulations in jurisdictions where your shoppers reside.
• Maintaining the app embed enabled in your theme for the widget to function.
• The accuracy of your product and inventory data in Shopify, which Restockd consumes as-is.

4. Fees

Restockd is free to use at launch. If we introduce paid plans in the future, we will notify existing merchants via the Shopify Partner communication channel, and paid plans will take effect on a go-forward basis only. Installing a paid plan is opt-in; the free tier will remain available unless discontinued with at least 30 days' notice.

5. Data and privacy

Your use of Restockd is also governed by our Privacy Policy, incorporated by reference. In summary:

• We collect the minimum personal data required (shopper email addresses only).
• We do not sell, rent, or share shopper data outside infrastructure processors (AWS, Shopify, Vercel, Resend).
• Data is deleted on unsubscribe, app uninstall, or shopper redaction request.

6. Acceptable use

You may not:

• Use Restockd to send messages other than restock notifications.
• Upload, import, or send to email addresses that did not voluntarily subscribe via the Restockd widget.
• Use the service to conduct phishing, spam, or other prohibited activity.
• Reverse-engineer, decompile, or attempt to extract source code.
• Interfere with or disrupt the service (automated scraping, DDoS, etc.).
• Resell, sublicense, or repackage the service without written permission.

Violation may result in immediate termination of your account.

7. Service availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, Shopify platform outages, AWS outages, email provider issues, and other factors may cause temporary disruption. We are not liable for losses arising from such downtime.

8. Modifications to the service

We may add, modify, or remove features at any time. Material changes will be communicated via the app dashboard, the Shopify Partner communication channel, or this document. Continued use after a change constitutes acceptance.

9. Termination

• By you: uninstall the app from your Shopify admin at any time. All shop-scoped data is deleted within 30 days (in practice, immediately upon the Shopify shop/redact webhook).
• By us: we may suspend or terminate your access if you violate these Terms, if your Shopify store is suspended, or for legal or operational reasons. Where reasonable, we will give notice.

10. Disclaimer of warranties

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that email delivery will always succeed.

11. Limitation of liability

To the maximum extent permitted by law, Restockd, its owners, and its contributors are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising from use of the service. Our total aggregate liability for any claim is limited to the fees you paid us in the 12 months preceding the claim, or US$100, whichever is greater. On the free plan, that maximum is US$100.

12. Indemnification

You agree to indemnify and hold Restockd harmless from claims arising out of:

• Your use of the service in violation of these Terms.
• Your violation of applicable law, including data protection law.
• Infringement of third-party rights by content or data you upload or cause to be processed.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict of laws principles. Disputes will be resolved in the competent courts of Bangalore, Karnataka, India.

14. Changes to these Terms

We may update these Terms. Material changes will be reflected in the "Last updated" date at the top. Continued use after a change constitutes acceptance. For substantive changes we will additionally notify merchants via the app or email.
